PREAMBLE

TruZt AG, a joint-stock company, headquartered at Steinmattstrasse 43, 3920 Zermatt, Switzerland (hereinafter referred to as "TruZt AG," "we," "our," or "us"), provides a service under the name The-Guest Club (hereinafter referred to as "the Platform").

The-Guest Club is an exclusive platform designed to enhance luxury travel experiences. As part of an elite luxury travel club, guests can create detailed profiles that capture their preferences for room amenities, dining choices, special requests, and more. These profiles can be securely shared with participating service providers, such as hotels, restaurants, and spas, to ensure personalised service without the need for repetitive form-filling and app downloading.

The-Guest Club also includes features like an integrated travel wallet to manage travel-related cards, loyalty cards. The-Guest Club empowers travellers to enjoy seamless, memorable experiences while enabling service providers to access their Guest Club profiles to tailor the delivery of exceptional, cutomised services.

These Terms of Use (hereinafter referred to as the "Agreement") govern the terms and conditions under which TruZt AG makes the Platform and all associated services (hereinafter referred to as the "Services") available to the Client (as defined below).

The term "Client" refers to any entity (such as a hotel, club, spa, etc.) or any individual who accepts and agrees to comply with these Terms of Use.

By accepting this Agreement, the Client acknowledges having read, understood, and agreed to all its provisions. The Agreement is deemed concluded on the date the Client expresses their consent through any appropriate means, including clicking to accept these terms.

This preamble forms part of the Terms of Use.

PURPOSE AND OPERATION OF THE PLATFORM

The platform, named "The-Guest Club" (hereinafter referred to as "the Platform"), is an online community service designed to connect professionals in the hospitality and tourism industry, including hotels, restaurants, spas, airlines, and other similar establishments (hereinafter referred to as "Partner Establishments") with travelers registered on the Platform (hereinafter referred to as "Guests").

The Platform enables its Clients (Guests and Partner Establishments) to benefit from the following features:

1. Personalized Profile Creation for Guests

Guests can create a personal profile on the Platform, which may include various information such as travel preferences, personal details (including but not limited to name, surname, address, and contact details), as well as payment information. These data are collected and stored in compliance with applicable personal data protection laws. Guests may also modify or delete their profile at any time. Guests can create comprehensive profiles for themselves, and also family members and pets that capture their individual preferences for room amenities, dining choices, spa treatments, and more. By sharing these profiles with participating service providers, such as hotels, restaurants, and spas, guests can ensure their needs are considered without the hassle of repetitive form-filling, back-and-forth email communication, or downloading several apps.

2. Partner Establishments' Access to Guest Data

Registered Partner Establishments can access Guest data solely for the purpose of personalizing their user experience. This personalization may include, but is not limited to, offering tailored services, promotions, or information based on individual preferences. Access to this data is restricted and governed by a confidentiality agreement and strict adherence to data protection regulations, including the Data Protection Law.

3. Geolocation, Virtual Assistant, and Chat Functionalities

The Platform includes functionalities such as geolocation of Partner Establishments and Guests, enabling better service personalization based on the user’s geographic location. It also includes a virtual assistant that provides automated recommendations and support, as well as an instant messaging system (chat) to facilitate real-time communication between Guests and Partner Establishments. These services are provided subject to the acceptance of the Platform’s Privacy Policy and Terms of Use and may be modified or suspended at any time at the Platform operator’s discretion.

We offer you the right to use a platform that allows to offer, publish, and search for Luxury Services, therefore, when Clients make or accept a reservation they mutually enter into a direct contract, and the platform is not and does not become a party or other participant in any contractual relationship between Clients.

ACCEPTANCE OF THE PLATFORM’S TERMS

By accessing and using the Platform, you acknowledge and agree to the following terms:

1. You certify that you are at least 18 years old or have reached the legal age required to enter into contracts in your country of residence according to applicable law. If you do not meet this requirement, you must immediately cease using the Platform.

2. By using the Platform, you irrevocably accept these Terms of Use (CGU) as well as our Privacy Policy, in their version effective at the time of use. You acknowledge having read these documents in full and agree to comply with them.

3. You are solely responsible for all actions, operations, transactions, and activities carried out under your user account, whether authorized by you or not, and you commit to maintaining the confidentiality and security of your login credentials. Any use of your account, whether authorized or not, is entirely your responsibility.

4. This Agreement takes effect from the date the Client clicks the "I Accept" button or makes any other clear statement of acceptance of these CGU, constituting full and unconditional acceptance of all the terms outlined in this document. This date is referred to as the "Effective Date."

5. Commitment on Behalf of the Client: If you accept these CGU on behalf of an entity or third-party client (the "Client"), you represent and warrant that you have the legal and sufficient authority to bind the entity or Client to this Agreement. You confirm that you have read and understood the terms and conditions of this Agreement and accept them on behalf of the Client, thereby legally committing the latter.

ACCOUNT CREATION ON THE PLATFORM

1. Guest Accounts

The Client must create a personal Account to access and use the Services offered on the Platform. The Client is solely responsible for the information provided when creating the Account, including, but not limited to, their name, email address, and any other required details. The Client commits to providing accurate, complete, and up-to-date information and to updating these details in case of any changes.

The Client is also responsible for the security of their login credentials, including passwords, and for all activities conducted from their Account. In case of suspected unauthorized use of the Account, the Client must immediately inform the Platform and take all necessary measures to secure their Account.

2. Partner Establishment Accounts

Partner Establishments must register on the Platform and pay membership fees according to the selected pricing plan. The amount and payment terms of the membership fees will be specified during the registration process and may be modified by the Platform with reasonable prior notice.

Partner Establishments will have access to Guest information only under the following conditions:

  • 1. The Guest’s profile must be activated by the Guest themselves.
  • 2. The Guest must have made a reservation or be in the process of making a reservation with the Partner Establishment.

Partner Establishments commit to using this information solely within the scope of service provision and to comply with all legal and regulatory obligations regarding confidentiality and personal data protection. Any misuse of Guest information may result in penalties, including suspension or termination of access to the Platform’s Services.

PARTNER ESTABLISHMENT TERMS

1. Enroll Online

Enroll Online: Begin the registration process by enrolling directly through The-Guest Club platform, either via the website or via the app.

Create Your Business Profile: Provide detailed information about your luxury services, amenities, and offerings to ensure guests have a clear understanding of what you offer.

License Fee: Obtain the fixed yearly license fee from 1290 CHF to gain access to The-Guest Club platform.

Membership Package: Choose the membership which fits your hotel operation needs. Integrations regarding existing PMS, CRMs, or POS systems are considered individually. If you would like to integrate with your existing systems, you should contact support@the-guestclub.com and send your specific requirements.

2. Access Guest Profiles

Receive Guest Information: Upon booking, receive and analyse comprehensive guest profiles that include preferences, special requests, and needs. This data ensures you can deliver personalised services from the moment they arrive.

Real-Time Profile Updates: Stay updated with any changes in guest preferences or requests, ensuring you meet their evolving needs during their stay.

Encourage Guest Engagement: Suggest that your guests join The-Guest Club to further enhance their experiences and increase the personal touch you can provide.

3. Personalised Service Delivery

Tailored Experiences: Use guest profiles to personalise every aspect of the service, from room arrangements to dining experiences and in-flight or onboard amenities.

Individual Amenities: Customise in-room or onboard settings, ensuring amenities reflect each guest's specific tastes and preferences.

Consistent Elite Service: Deliver consistent, high-quality personalized services across all stays, enhancing your reputation as a premier luxury provider.

4. Streamlined Operations and Automation

Service Automation: Automate routine tasks, such as room assignments, special requests, and amenity preparation, allowing staff to focus on delivering exceptional guest experiences.

System Integration: With your PMS or CRM integrated, The-Guest Club ensures smooth operational flow, reducing manual work and optimizing staff efficiency.

5. Licensing and Memberships

The-Guest Club offers a straightforward pricing model with a fixed annual license fee of 1290 CHF. To further customise your experience, we offer flexible membership packages based on the number of guest profiles you wish to access.

The Partner Establishment, registers the company on the platform and TGC waiting for acceptance. Only registered companies in the industry, that justify the needs to access guest profiles will be accepted.

Upon acceptance, the industry can create the profile. The companies fill out their information and include the link for direct booking. We give the opportunity for the industry to profit from direct bookings through the link on TGC platform, for an exchange of 5% commission on all bookings.

The yearly license is non-refundable. However, when a user pays the license fee and wants to cancel, the cancellation will take effect after the day of the last renewal. Industry partners can cancel their license fee 1 month before the automatic renewal.

The membership packages give access to a certain number of guest profiles per month. Once they have no more guest profiles, they either buy another package or the current package will renew automatically on the date of the last purchase.

The industry partners have access to the guest profile while the guest does the sharing. Out of these dates, the providers are not allowed to see the guest profile. In addition, the industry providers can only visualize the guest profile and cannot at any time download any information. The industry providers need to be sure there is no mistreatment of the information and are compliant for any misuse.

GUEST TERMS

1. Sign Up and Profile Creation

Choose Your Preferred Platform: Download The-Guest Club app from your preferred app store or register directly via our website.

Submit Your Request: Apply to join the Elite Club of Luxury Travellers. Your request will be reviewed to ensure that you meet the community's high standards.

Wait for Acceptance Confirmation: After submitting your request, you’ll receive confirmation within 48 hours.

Create Your Profile: Once accepted, create a detailed profile that captures your unique preferences—whether for accommodations, dining, spa treatments, or travel.

Multiple Profiles: As your preferences may change as you travel for business or leisure, The-Guest Club allows you to create multiple profiles to be shared accordingly. You can create a leisure or business profile as well as a family profile to add child and pet preferences.

2. Booking and Sharing Preferences

Share Your Profile: Upon booking through any platform, share your personalised profile with participating providers, ensuring they have all the information needed to customize your experience.

3. Centralised Travel Wallet

Add Your Documents: Store all essential travel documents and loyalty cards in one secure location.

Access with Ease: Conveniently access your travel wallet via the app or website, ensuring all your necessary details are available during your trip.

4. Enjoy Personalised Services

Tailored Services: Experience bespoke services based on your profile, including room settings, spa treatments, dining options, and more.

Consistent Quality: Whether staying at a luxury hotel or chartering a private yacht, enjoy consistent, high-quality experiences across all providers.

5. Real-Time Communication

In-App Messaging or Web Portal: Stay in touch with service providers via direct messaging, whether you’re communicating with a hotel concierge, spa, or yacht crew.

Stay Updated: Receive real-time updates about bookings, offers, and exclusive experiences, ensuring you never miss important information.

6. Feedback and Continuous Improvement

Provide Real-Time Feedback: Share feedback during or after your experience, helping us enhance your future stays.

Profile Updates: As your preferences evolve, update your profile to ensure that every future stay meets your expectations.

7. Privacy and Security

Secure Data: Trust that your personal data is securely stored and handled in accordance with the highest industry standards.

Confidentiality Guaranteed: Your information is used solely to personalise and enhance your experiences, ensuring your privacy at every step.

You can delete your account at any time from the “Settings” section. Note that this action is irreversible.

8. Membership

Membership costs 120 CHF per year. However, invited by licensed members receive the first year free. After, charges will be made automatically.

EXECUTIVE AMBASSADOR CLUB

The-Guest Club Executive Ambassador Program is a unique opportunity for individuals passionate about luxury hospitality and services to partner with us in promoting our innovative platform. Executive Ambassadors serve as brand ambassadors, sharing The-Guest Club's mission, values, and offerings with their networks and communities.

As an Executive Ambassador, you play a pivotal role in representing The-Guest Club. Your mission is to advocate for our innovative platform, inspiring elite travellers and hospitality professionals to join our exclusive community. By sharing our vision and values, you will help drive the future of luxury hospitality, ensuring personalised and exceptional experiences for all members. Below are some examples of what you can do:

  • (I) Share The-Guest Club's app download link and promotional materials with your social media followers, friends, and family who fit the luxury market profile.
  • (II) Hosting events or meetups to introduce The-Guest Club to potential users and partners.
  • (III) Creating engaging content such as blog posts, videos, or reviews showcasing the benefits of The-Guest Club app, following the branding guidelines and approval procedures.
  • (IV) Participating in referral campaigns and sharing personalised referral codes to track sign-ups generated through your network.

By joining The-Guest Club Executive Ambassador Program, you'll enjoy a range of exclusive benefits, including:

  • (III) arly Access and Insider Updates: Get access to exclusive sneak peeks, insider updates, and early access to new features and offerings before they're released to the public.
  • (IV) ersonal Growth and Development: Enhance your communication, marketing, and networking skills as you engage with diverse audiences and represent The-Guest Club brand.

Becoming a part of The-Guest Club Executive Ambassador Program:

  • 1. Send your request to join to info@the-guestclub.com together with your motivational letter and CV.
  • 2. Once selected, you will be called for an interview.
  • 3. Once approved, you'll receive all the information related to T-Guest Club.
  • 4. Start spreading the word about The-Guest Club app and sharing your unique referral link with your network.
  • 5. Earn rewards and enjoy the perks of being a valued member of The-Guest Club Ambassador community!

RESPONSIBILITIES

Clients are responsible for all their acts, and omissions, that are against our terms and conditions:

Partner Establishments are responsible for their own acts and omissions, and also responsible for the acts and omissions of anyone you authorize to participate in the provision of their services Services.

The-Guest Club allows Partner Establishments to share their Accommodation and Experiences or other touristic services with our Guest community, and Partner Establishments are responsible for setting the price and establishing rules and requirements for the services and must describe all additional fees and charges in the description.

Partner Establishments relationship with The-Guest Club is that of independent individuals or entities and not as employees, agents or joint venturers.

TERMINATION, SUSPENSION AND OTHER MEASURES

The agreement with Clients reflected in these Terms remains in effect until terminated by either us or you in accordance with these Terms.

The termination of this contract can be done at any time by sending us an email or deleting the account.

The-Guest Club may terminate this agreement for any reason upon 30 (thirty) days' notice by email or through any other means of contact that you have made available in your account.

The-Guest Club may also terminate this agreement immediately and without notice and prohibit access to The-Guest Club if you

  • materially breach these Terms or our Additional Legal Terms or Policies;
  • violates applicable laws; or
  • such action is necessary to protect the personal safety or property of The-Guest Club and its members, or third parties; or
  • your account has been inactive for more than 2 years.

If we take any of these measures, The-Guest Club will, where necessary, inform you of the measure with a statement of reasons in accordance with its legal obligations.

DATA PRIVACY AND SECURITY

Clients (Guests and Partner Establishments) are entitled to clear and transparent information regarding the processing of their personal data. Clients have the following rights, in accordance with applicable data protection laws:

1. Right of access: You can request information about the personal data we hold about you and request a copy.

2. Right to rectification: You can request the correction of any inaccurate or incomplete personal data.

3. Right to erasure: You can request the deletion of your personal data.

4. Right to restrict processing: You can request limitations on the processing of your data.

5. Right to object: You can object to the processing of your personal data at any time.

We are committed to respecting your rights and processing your personal data in compliance with the Data Protection Law. For more details on how we collect, use, protect, and share your data, please refer to our Privacy Policy - The-Guest Club.

MARKETING & LOYALTY PROGRAMS

Partner Establishments may use guest data to craft personalised marketing campaigns aimed at attracting high-value, elite travellers who seek bespoke luxury experiences, and design loyalty programs that reward guests based on their preferences and repeat visits, fostering long-term loyalty and strengthening your brand’s relationship with elite guests, and also offering exclusive rewards and promotions that keep them coming back for the personalised service only you can offer.

APPLICABLE LAW AND DISPUTES

These Terms are governed by Swiss law, excluding its conflict of laws rules.

In case of disputes or disagreements regarding the interpretation, execution, or validity of these terms, the parties agree to resolve the matter amicably first by appointing a Swiss mediator. If mediation fails after two attempts, the exclusive jurisdiction will be the competent courts of the Canton of Valais, Switzerland, specifically the Cantonal Court of Valais, Rue Mathieu-Schiner 1, P.O. Box 2203, 1950 Sion.
